努力健全以職代會為基本形式的企業民主管理制度
——在中央企業職代會建設座談會上的講話

剛才,國(guo)家電網(wang)、寶鋼集團和(he)中(zhong)國(guo)中(zhong)鐵(tie)介紹了(le)職代會(hui)建設的典型(xing)經(jing)(jing)驗,還有30家企業(ye)做了(le)書(shu)面交流。這(zhe)些在職代會(hui)建設實踐(jian)中(zhong)形成(cheng)的經(jing)(jing)驗和(he)做法(fa),各(ge)企業(ye)可學(xue)習借(jie)鑒。借(jie)此機會(hui),我談三(san)點意見。
一、中央企(qi)業職代會建設取得(de)了良好(hao)成效(xiao)
國(guo)資(zi)委(wei)(wei)黨委(wei)(wei)高度(du)重視以職(zhi)代(dai)會(hui)(hui)(hui)(hui)(hui)為(wei)(wei)基本形式的企(qi)(qi)業(ye)(ye)(ye)(ye)民主管(guan)理(li)工(gong)作。先后作出一(yi)(yi)系列(lie)部署,采取一(yi)(yi)系列(lie)有針對(dui)性(xing)的措施切(qie)實加以推(tui)進(jin)。印發了(le)(le)《關于建(jian)(jian)立和完善中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)(ye)(ye)職(zhi)工(gong)代(dai)表大會(hui)(hui)(hui)(hui)(hui)制度(du)的指(zhi)(zhi)導(dao)意見》,舉辦了(le)(le)中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)(ye)(ye)貫徹(che)職(zhi)代(dai)會(hui)(hui)(hui)(hui)(hui)指(zhi)(zhi)導(dao)意見研(yan)討培訓班(ban),集中(zhong)(zhong)(zhong)(zhong)開(kai)展(zhan)了(le)(le)職(zhi)代(dai)會(hui)(hui)(hui)(hui)(hui)建(jian)(jian)設和廠務(wu)公開(kai)民主管(guan)理(li)督導(dao)檢查工(gong)作,開(kai)展(zhan)了(le)(le)職(zhi)代(dai)會(hui)(hui)(hui)(hui)(hui)制度(du)建(jian)(jian)設專題調(diao)研(yan),召開(kai)了(le)(le)中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)(ye)(ye)深(shen)化廠務(wu)公開(kai)民主管(guan)理(li)工(gong)作和職(zhi)代(dai)會(hui)(hui)(hui)(hui)(hui)建(jian)(jian)設座談會(hui)(hui)(hui)(hui)(hui),與中(zhong)(zhong)(zhong)(zhong)紀委(wei)(wei)、中(zhong)(zhong)(zhong)(zhong)組部等(deng)六部委(wei)(wei)聯合印發了(le)(le)《企(qi)(qi)業(ye)(ye)(ye)(ye)民主管(guan)理(li)規定》,國(guo)資(zi)委(wei)(wei)群(qun)工(gong)局最近正(zheng)在(zai)組織(zhi)編寫《職(zhi)工(gong)代(dai)表大會(hui)(hui)(hui)(hui)(hui)工(gong)作指(zhi)(zhi)南》。近年來,中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)(ye)(ye)認真貫徹(che)中(zhong)(zhong)(zhong)(zhong)央和全國(guo)總工(gong)會(hui)(hui)(hui)(hui)(hui)、國(guo)資(zi)委(wei)(wei)黨委(wei)(wei)的工(gong)作要求,緊密結合完善現代(dai)企(qi)(qi)業(ye)(ye)(ye)(ye)制度(du)、提升企(qi)(qi)業(ye)(ye)(ye)(ye)管(guan)理(li)水平等(deng)現實需求,不(bu)斷深(shen)化職(zhi)代(dai)會(hui)(hui)(hui)(hui)(hui)建(jian)(jian)設。目前,有79家中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)(ye)(ye)建(jian)(jian)立了(le)(le)集團公司職(zhi)代(dai)會(hui)(hui)(hui)(hui)(hui),建(jian)(jian)制率為(wei)(wei)69.9%,特別要充分肯(ken)定的是二級企(qi)(qi)業(ye)(ye)(ye)(ye)職(zhi)代(dai)會(hui)(hui)(hui)(hui)(hui)建(jian)(jian)制率超過98%,在(zai)建(jian)(jian)立現代(dai)企(qi)(qi)業(ye)(ye)(ye)(ye)制度(du)建(jian)(jian)設規范董(dong)事(shi)會(hui)(hui)(hui)(hui)(hui)58戶(hu)中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)(ye)(ye)中(zhong)(zhong)(zhong)(zhong)有32戶(hu)設立了(le)(le)職(zhi)工(gong)董(dong)事(shi)。
(一)黨(dang)(dang)(dang)政領導(dao)高度(du)重視,工(gong)(gong)作(zuo)制(zhi)度(du)不斷完(wan)善,工(gong)(gong)作(zuo)機制(zhi)日益健全,為全面加強(qiang)職(zhi)(zhi)代(dai)會(hui)建(jian)設(she)(she)夯實(shi)(shi)(shi)了基(ji)(ji)礎。一是明確(que)了企(qi)業黨(dang)(dang)(dang)委(黨(dang)(dang)(dang)組)和經營班子在推進職(zhi)(zhi)代(dai)會(hui)建(jian)設(she)(she)中的(de)(de)(de)職(zhi)(zhi)責(ze),以及堅(jian)持(chi)企(qi)業黨(dang)(dang)(dang)委(黨(dang)(dang)(dang)組)領導(dao)職(zhi)(zhi)代(dai)會(hui)的(de)(de)(de)重要原則。二是結合實(shi)(shi)(shi)際,制(zhi)定(ding)了職(zhi)(zhi)代(dai)會(hui)工(gong)(gong)作(zuo)制(zhi)度(du)和實(shi)(shi)(shi)施細(xi)則,對職(zhi)(zhi)代(dai)會(hui)職(zhi)(zhi)權、組織原則、工(gong)(gong)作(zuo)制(zhi)度(du)、職(zhi)(zhi)工(gong)(gong)代(dai)表(biao)管理等作(zuo)出明確(que)規定(ding)。三是按照多級職(zhi)(zhi)代(dai)會(hui)建(jian)設(she)(she)的(de)(de)(de)要求,逐級向下,指導(dao)所屬(shu)基(ji)(ji)層企(qi)業結合實(shi)(shi)(shi)際,細(xi)化(hua)(hua)(hua)落實(shi)(shi)(shi),全面提升了職(zhi)(zhi)代(dai)會(hui)工(gong)(gong)作(zuo)的(de)(de)(de)科學化(hua)(hua)(hua)和規范化(hua)(hua)(hua)水(shui)平。
(二)努力探(tan)索落實職代會的(de)(de)(de)(de)各項(xiang)職權(quan)(quan)(quan),職代會在(zai)民主管(guan)理和依法維權(quan)(quan)(quan)中(zhong)的(de)(de)(de)(de)作用得到(dao)有效發(fa)揮。一(yi)是在(zai)堅(jian)持(chi)董事(shi)(shi)會依法對(dui)企(qi)業(ye)經(jing)營(ying)(ying)計劃、投資方(fang)案(an)(an)等(deng)重(zhong)要(yao)事(shi)(shi)項(xiang)行(xing)使(shi)決策權(quan)(quan)(quan)、經(jing)理層依法行(xing)使(shi)經(jing)營(ying)(ying)權(quan)(quan)(quan)和管(guan)理權(quan)(quan)(quan)的(de)(de)(de)(de)前(qian)提(ti)下(xia),職代會對(dui)企(qi)業(ye)重(zhong)要(yao)事(shi)(shi)項(xiang)、經(jing)營(ying)(ying)方(fang)面的(de)(de)(de)(de)重(zhong)大(da)問題(ti)、制訂重(zhong)要(yao)規(gui)章制度等(deng)行(xing)使(shi)審(shen)議建議權(quan)(quan)(quan)。二是對(dui)于董事(shi)(shi)會、經(jing)理層制訂的(de)(de)(de)(de)涉及職工(gong)切(qie)身利益的(de)(de)(de)(de)有關方(fang)案(an)(an),包括企(qi)業(ye)改制中(zhong)的(de)(de)(de)(de)職工(gong)安(an)置(zhi)方(fang)案(an)(an)、職工(gong)獎懲辦法重(zhong)要(yao)規(gui)章制度、集(ji)體合同草案(an)(an)、企(qi)業(ye)年(nian)金方(fang)案(an)(an)、住(zhu)房制度改革方(fang)案(an)(an)等(deng)涉及職工(gong)切(qie)身利益的(de)(de)(de)(de)重(zhong)大(da)事(shi)(shi)項(xiang)堅(jian)持(chi)提(ti)交職代會審(shen)議和表決,行(xing)使(shi)審(shen)議通過權(quan)(quan)(quan)。三是在(zai)遵循黨(dang)管(guan)干部原則和尊重(zhong)董事(shi)(shi)會、經(jing)理層行(xing)使(shi)企(qi)業(ye)人員(yuan)聘用權(quan)(quan)(quan)的(de)(de)(de)(de)前(qian)提(ti)下(xia),明確了(le)職代會對(dui)企(qi)業(ye)經(jing)營(ying)(ying)班子成員(yuan)的(de)(de)(de)(de)監督(du)評議權(quan)(quan)(quan),每年(nian)或定期(qi)組織職工(gong)代表聽取企(qi)業(ye)領導班子成員(yuan)報告(gao)履行(xing)職責和廉潔自(zi)律的(de)(de)(de)(de)情(qing)況(kuang)。
(三)加強職(zhi)(zhi)(zhi)工(gong)(gong)(gong)代(dai)(dai)表(biao)隊(dui)伍建(jian)設,充(chong)分發(fa)揮職(zhi)(zhi)(zhi)工(gong)(gong)(gong)代(dai)(dai)表(biao)在(zai)引導廣(guang)大職(zhi)(zhi)(zhi)工(gong)(gong)(gong)參(can)與(yu)改(gai)(gai)(gai)革(ge)(ge)、推進改(gai)(gai)(gai)革(ge)(ge)中(zhong)的(de)(de)作用。各企(qi)業高度重視職(zhi)(zhi)(zhi)工(gong)(gong)(gong)代(dai)(dai)表(biao)的(de)(de)素(su)質提(ti)升工(gong)(gong)(gong)作,組織職(zhi)(zhi)(zhi)工(gong)(gong)(gong)代(dai)(dai)表(biao)學習黨(dang)的(de)(de)路線(xian)方(fang)(fang)針政策(ce)、國(guo)家法(fa)律法(fa)規、企(qi)業管(guan)理知識;向(xiang)職(zhi)(zhi)(zhi)工(gong)(gong)(gong)代(dai)(dai)表(biao)講清楚企(qi)業改(gai)(gai)(gai)革(ge)(ge)的(de)(de)方(fang)(fang)向(xiang)、內容(rong)、要求,改(gai)(gai)(gai)革(ge)(ge)的(de)(de)前景、風險和挑戰,回答(da)職(zhi)(zhi)(zhi)工(gong)(gong)(gong)代(dai)(dai)表(biao)關注(zhu)的(de)(de)熱點(dian)、難點(dian)問(wen)題;結合(he)黨(dang)的(de)(de)群眾(zhong)路線(xian)教育(yu)實踐(jian)活動(dong),組織職(zhi)(zhi)(zhi)工(gong)(gong)(gong)代(dai)(dai)表(biao)深(shen)入基層調查(cha)研究,增強了職(zhi)(zhi)(zhi)工(gong)(gong)(gong)代(dai)(dai)表(biao)的(de)(de)榮譽感(gan)、責任心;積極推廣(guang)職(zhi)(zhi)(zhi)工(gong)(gong)(gong)代(dai)(dai)表(biao)履職(zhi)(zhi)(zhi)的(de)(de)典(dian)型經驗(yan),堅持在(zai)廣(guang)大職(zhi)(zhi)(zhi)工(gong)(gong)(gong)代(dai)(dai)表(biao)中(zhong)選(xuan)先進、樹(shu)標桿。這些(xie)做(zuo)法(fa),既有(you)效提(ti)高了職(zhi)(zhi)(zhi)工(gong)(gong)(gong)代(dai)(dai)表(biao)參(can)與(yu)企(qi)業管(guan)理和監督評議的(de)(de)能力,又對(dui)于教育(yu)和引導包括(kuo)職(zhi)(zhi)(zhi)工(gong)(gong)(gong)代(dai)(dai)表(biao)在(zai)內的(de)(de)廣(guang)大職(zhi)(zhi)(zhi)工(gong)(gong)(gong)正(zheng)確看待(dai)改(gai)(gai)(gai)革(ge)(ge)、擁(yong)護(hu)支持改(gai)(gai)(gai)革(ge)(ge)、參(can)與(yu)推動(dong)改(gai)(gai)(gai)革(ge)(ge),發(fa)揮了重要作用。
(四(si))堅持開(kai)展職(zhi)代(dai)(dai)會效能評(ping)(ping)(ping)估,為加強職(zhi)代(dai)(dai)會的(de)實效性(xing)和(he)提高職(zhi)工滿意(yi)度提供(gong)了保障。部分企業(ye)堅持在黨(dang)委(wei)(黨(dang)組(zu))領導(dao)下,每年(nian)組(zu)織開(kai)展對(dui)本企業(ye)上一年(nian)度職(zhi)代(dai)(dai)會運(yun)行(xing)質(zhi)量的(de)評(ping)(ping)(ping)估工作(zuo)(zuo)。評(ping)(ping)(ping)估采(cai)取召開(kai)職(zhi)工代(dai)(dai)表(biao)座(zuo)談(tan)會、開(kai)展職(zhi)工代(dai)(dai)表(biao)個別(bie)訪談(tan)、組(zu)織職(zhi)工代(dai)(dai)表(biao)民(min)主(zhu)(zhu)測(ce)評(ping)(ping)(ping)等多(duo)(duo)種方式進(jin)(jin)行(xing)。對(dui)評(ping)(ping)(ping)估的(de)情況進(jin)(jin)行(xing)綜合分析(xi)(xi),特別(bie)是(shi)針對(dui)薄弱(ruo)環節,深入(ru)分析(xi)(xi)職(zhi)工群眾(zhong)不滿意(yi)的(de)原因(yin),提出改(gai)進(jin)(jin)意(yi)見,積極落實整改(gai),并向職(zhi)代(dai)(dai)會報(bao)告工作(zuo)(zuo)改(gai)進(jin)(jin)情況。多(duo)(duo)數中央(yang)企業(ye)能夠(gou)逐級(ji)開(kai)展職(zhi)代(dai)(dai)會建(jian)設(she)先進(jin)(jin)單(dan)位的(de)創建(jian)活(huo)動,發揮典型單(dan)位的(de)示范引領作(zuo)(zuo)用(yong)。2013年(nian),近百家中央(yang)企業(ye)(含二、三級(ji)企業(ye))榮獲全國(guo)廠(chang)務(wu)公(gong)開(kai)民(min)主(zhu)(zhu)管理先進(jin)(jin)單(dan)位稱號。為此,全國(guo)廠(chang)務(wu)公(gong)開(kai)協(xie)調小組(zu)辦公(gong)室(shi)認(ren)為“中央(yang)企業(ye)在推進(jin)(jin)廠(chang)務(wu)公(gong)開(kai)民(min)主(zhu)(zhu)管理制度工作(zuo)(zuo)中一直走在前列,為全國(guo)的(de)廠(chang)務(wu)公(gong)開(kai)民(min)主(zhu)(zhu)管理工作(zuo)(zuo)做出了好的(de)榜樣”。
在充分肯定工(gong)作(zuo)(zuo)成績的同時,我們(men)也要(yao)看到,中央企(qi)(qi)(qi)業(ye)職(zhi)代會(hui)(hui)建(jian)設(she)還很(hen)不(bu)平衡。一是確實存(cun)(cun)在少數企(qi)(qi)(qi)業(ye)領導特(te)別(bie)是個別(bie)企(qi)(qi)(qi)業(ye)的主要(yao)領導對職(zhi)代會(hui)(hui)建(jian)設(she)的重要(yao)性和(he)必要(yao)性認識(shi)不(bu)夠,思想顧慮多,工(gong)作(zuo)(zuo)措施和(he)有(you)效辦法少。二是有(you)的企(qi)(qi)(qi)業(ye)職(zhi)代會(hui)(hui)職(zhi)權(quan)內容(rong)、運作(zuo)(zuo)程(cheng)序及工(gong)作(zuo)(zuo)制(zhi)度陳舊,不(bu)能與現代企(qi)(qi)(qi)業(ye)制(zhi)度有(you)效銜(xian)接。三(san)是有(you)的企(qi)(qi)(qi)業(ye)職(zhi)代會(hui)(hui)存(cun)(cun)在走(zou)過(guo)場(chang)、搞形式主義(yi),發揮作(zuo)(zuo)用不(bu)夠的問(wen)(wen)題。這(zhe)些問(wen)(wen)題影響了職(zhi)代會(hui)(hui)建(jian)設(she),也在一定程(cheng)度上(shang)影響了企(qi)(qi)(qi)業(ye)管理水(shui)平的提升。
二、進一步增強(qiang)抓(zhua)好職代會(hui)建(jian)設(she)的積(ji)極性和責(ze)任(ren)感
建立和完善(shan)職工(gong)(gong)代表大會(hui)制度,是(shi)堅(jian)持全心全意依靠工(gong)(gong)人階級的指導方針和堅(jian)持職工(gong)(gong)主體地位(wei)的體現,是(shi)國(guo)有企(qi)業(ye)的政(zheng)治優勢,是(shi)中(zhong)國(guo)特色現代企(qi)業(ye)制度的本質(zhi)要(yao)求,也是(shi)國(guo)有企(qi)業(ye)改革(ge)發展取得(de)成功的重要(yao)保障。
建(jian)立和完善職(zhi)(zhi)(zhi)工(gong)(gong)(gong)(gong)代表大(da)(da)會(hui)制(zhi)度(du),是深入學習(xi)貫徹黨(dang)(dang)的(de)(de)十八屆(jie)三(san)(san)中全(quan)(quan)會(hui)和習(xi)近平總書(shu)記(ji)(ji)系列重要(yao)講話(hua)精神的(de)(de)客(ke)觀要(yao)求(qiu)。黨(dang)(dang)的(de)(de)十八屆(jie)三(san)(san)中全(quan)(quan)會(hui)指(zhi)出:“健(jian)全(quan)(quan)以(yi)職(zhi)(zhi)(zhi)工(gong)(gong)(gong)(gong)代表大(da)(da)會(hui)為基(ji)本(ben)形(xing)式(shi)的(de)(de)企(qi)事(shi)業單位民主(zhu)(zhu)(zhu)管(guan)(guan)理(li)制(zhi)度(du),加強(qiang)社會(hui)組(zu)織(zhi)民主(zhu)(zhu)(zhu)機制(zhi)建(jian)設,保(bao)障職(zhi)(zhi)(zhi)工(gong)(gong)(gong)(gong)參與(yu)管(guan)(guan)理(li)和監督(du)的(de)(de)民主(zhu)(zhu)(zhu)權(quan)(quan)(quan)利”。習(xi)近平總書(shu)記(ji)(ji)在同全(quan)(quan)國總工(gong)(gong)(gong)(gong)會(hui)新一屆(jie)領導班子集體談話(hua)時(shi)明確指(zhi)出:“要(yao)健(jian)全(quan)(quan)以(yi)職(zhi)(zhi)(zhi)工(gong)(gong)(gong)(gong)代表大(da)(da)會(hui)為基(ji)本(ben)形(xing)式(shi)的(de)(de)企(qi)事(shi)業單位民主(zhu)(zhu)(zhu)管(guan)(guan)理(li)制(zhi)度(du)、廠(chang)務公開制(zhi)度(du),組(zu)織(zhi)職(zhi)(zhi)(zhi)工(gong)(gong)(gong)(gong)依法實(shi)行民主(zhu)(zhu)(zhu)選舉(ju)、民主(zhu)(zhu)(zhu)決策、民主(zhu)(zhu)(zhu)管(guan)(guan)理(li)、民主(zhu)(zhu)(zhu)監督(du),使(shi)職(zhi)(zhi)(zhi)工(gong)(gong)(gong)(gong)群(qun)眾的(de)(de)知(zhi)情(qing)權(quan)(quan)(quan)、參與(yu)權(quan)(quan)(quan)、表達權(quan)(quan)(quan)、監督(du)權(quan)(quan)(quan)得到更充分更有效的(de)(de)保(bao)障”。我們要(yao)從深入貫徹黨(dang)(dang)的(de)(de)十八屆(jie)三(san)(san)中全(quan)(quan)會(hui)、習(xi)近平總書(shu)記(ji)(ji)系列重要(yao)講話(hua)精神的(de)(de)高(gao)度(du),增強(qiang)做好中央企(qi)業職(zhi)(zhi)(zhi)代會(hui)建(jian)設工(gong)(gong)(gong)(gong)作的(de)(de)自覺性。
建立和(he)(he)完善職(zhi)工(gong)代(dai)(dai)(dai)表(biao)大(da)(da)會(hui)制度,是《憲法(fa)(fa)(fa)》及相(xiang)關法(fa)(fa)(fa)律(lv)(lv)的明確規定。《憲法(fa)(fa)(fa)》第(di)(di)十六條第(di)(di)二(er)款規定:國有企業(ye)依(yi)照法(fa)(fa)(fa)律(lv)(lv)規定,通(tong)過職(zhi)工(gong)代(dai)(dai)(dai)表(biao)大(da)(da)會(hui)和(he)(he)其他形式(shi)(shi),實(shi)行民主(zhu)(zhu)管理。《工(gong)會(hui)法(fa)(fa)(fa)》第(di)(di)六條第(di)(di)二(er)款規定:工(gong)會(hui)依(yi)照法(fa)(fa)(fa)律(lv)(lv)規定通(tong)過職(zhi)工(gong)代(dai)(dai)(dai)表(biao)大(da)(da)會(hui)或(huo)者(zhe)其他形式(shi)(shi),組織職(zhi)工(gong)參(can)與(yu)本單位的民主(zhu)(zhu)決(jue)策、民主(zhu)(zhu)管理和(he)(he)民主(zhu)(zhu)監督。事實(shi)上,凡未經(jing)(jing)職(zhi)代(dai)(dai)(dai)會(hui)審議通(tong)過的企業(ye)年金(jin)方案(an),職(zhi)工(gong)安置方案(an)等,無法(fa)(fa)(fa)通(tong)過政府相(xiang)關部門的審核。特別(bie)是在全面深化改(gai)革過程(cheng)中(zhong),企業(ye)內部許多改(gai)革措(cuo)施必須(xu)經(jing)(jing)過職(zhi)代(dai)(dai)(dai)會(hui)等規范的民主(zhu)(zhu)程(cheng)序,才具備法(fa)(fa)(fa)律(lv)(lv)效(xiao)力。以(yi)前,一些企業(ye)在改(gai)革改(gai)制、兼并重組以(yi)及涉及職(zhi)工(gong)切(qie)實(shi)利益(yi)的決(jue)策過程(cheng)中(zhong),沒有依(yi)法(fa)(fa)(fa)履行民主(zhu)(zhu)程(cheng)序,采取所謂“變通(tong)”方式(shi)(shi),留下了(le)許多法(fa)(fa)(fa)律(lv)(lv)隱患。中(zhong)央企業(ye)各級領(ling)導(dao)干部要切(qie)實(shi)增強依(yi)法(fa)(fa)(fa)做(zuo)好(hao)企業(ye)民主(zhu)(zhu)管理工(gong)作的緊迫感和(he)(he)責任(ren)感。
建(jian)立和(he)(he)完(wan)(wan)善(shan)職(zhi)(zhi)工(gong)(gong)代表大(da)會(hui)(hui)(hui)制(zhi)(zhi)(zhi)(zhi)度(du),是建(jian)立現(xian)代企(qi)業(ye)制(zhi)(zhi)(zhi)(zhi)度(du)、完(wan)(wan)善(shan)公(gong)司(si)治(zhi)理(li)(li)結構的(de)(de)(de)迫切(qie)需(xu)要(yao)。建(jian)立現(xian)代企(qi)業(ye)制(zhi)(zhi)(zhi)(zhi)度(du)的(de)(de)(de)核(he)心(xin)是使所(suo)有(you)(you)者、經(jing)營者、勞動者之間(jian)通過(guo)股(gu)東會(hui)(hui)(hui)、董事(shi)會(hui)(hui)(hui)、監事(shi)會(hui)(hui)(hui)、經(jing)理(li)(li)層以及黨(dang)組織(zhi)(zhi)、職(zhi)(zhi)代會(hui)(hui)(hui)形成各負其(qi)(qi)責(ze)、協(xie)調(diao)運轉、有(you)(you)效(xiao)制(zhi)(zhi)(zhi)(zhi)衡的(de)(de)(de)關系,使公(gong)司(si)法人(ren)治(zhi)理(li)(li)結構更趨完(wan)(wan)善(shan)和(he)(he)合理(li)(li)。其(qi)(qi)中,黨(dang)組織(zhi)(zhi)發揮政(zheng)治(zhi)核(he)心(xin)作(zuo)用和(he)(he)職(zhi)(zhi)工(gong)(gong)民主管(guan)理(li)(li)是國有(you)(you)企(qi)業(ye)公(gong)司(si)治(zhi)理(li)(li)結構中最具(ju)中國特(te)色的(de)(de)(de)內容。在規范董事(shi)會(hui)(hui)(hui)建(jian)設的(de)(de)(de)企(qi)業(ye)中,職(zhi)(zhi)工(gong)(gong)董事(shi)的(de)(de)(de)產生、履職(zhi)(zhi)盡責(ze)和(he)(he)報告工(gong)(gong)作(zuo)都需(xu)要(yao)通過(guo)職(zhi)(zhi)代會(hui)(hui)(hui)這個(ge)平(ping)臺來(lai)作(zuo)支撐(cheng)。實踐(jian)表明(ming),職(zhi)(zhi)代會(hui)(hui)(hui)具(ju)有(you)(you)廣(guang)(guang)泛的(de)(de)(de)代表性(xing)、充分的(de)(de)(de)民主性(xing)、法定(ding)的(de)(de)(de)權威(wei)性(xing)和(he)(he)組織(zhi)(zhi)制(zhi)(zhi)(zhi)(zhi)度(du)的(de)(de)(de)嚴密性(xing),能(neng)夠(gou)有(you)(you)效(xiao)增強廣(guang)(guang)大(da)職(zhi)(zhi)工(gong)(gong)群(qun)眾的(de)(de)(de)主人(ren)翁(weng)意識,充分調(diao)動職(zhi)(zhi)工(gong)(gong)群(qun)眾的(de)(de)(de)積極性(xing)、主動性(xing)和(he)(he)創造性(xing),最大(da)限度(du)地集中廣(guang)(guang)大(da)職(zhi)(zhi)工(gong)(gong)的(de)(de)(de)智(zhi)慧和(he)(he)力量(liang),持(chi)續不斷地提升企(qi)業(ye)管(guan)理(li)(li)水平(ping)、切(qie)實有(you)(you)效(xiao)地防范企(qi)業(ye)經(jing)營風險。
建立和完善(shan)職(zhi)(zhi)(zhi)工(gong)代表(biao)(biao)大會(hui)(hui)制(zhi)度(du),是切實維護職(zhi)(zhi)(zhi)工(gong)合法(fa)權益、推(tui)進(jin)中央(yang)企(qi)業(ye)反腐倡廉建設的(de)(de)必然(ran)要求。健全以職(zhi)(zhi)(zhi)工(gong)代表(biao)(biao)大會(hui)(hui)為基本形式的(de)(de)企(qi)業(ye)民(min)主管理制(zhi)度(du),組織職(zhi)(zhi)(zhi)工(gong)依法(fa)進(jin)行(xing)民(min)主管理,保障職(zhi)(zhi)(zhi)工(gong)的(de)(de)知情權、參(can)與(yu)(yu)權、表(biao)(biao)達權、監(jian)督(du)權,使企(qi)業(ye)負責人(ren)自(zi)覺接(jie)受黨內監(jian)督(du)、群(qun)眾(zhong)監(jian)督(du),能(neng)增強廉潔從業(ye)的(de)(de)自(zi)覺性(xing),確保權力(li)在群(qun)眾(zhong)的(de)(de)有效(xiao)監(jian)督(du)下運行(xing),對(dui)于打造(zao)“陽光央(yang)企(qi)”、構建企(qi)業(ye)職(zhi)(zhi)(zhi)工(gong)廣泛參(can)與(yu)(yu)的(de)(de)懲治與(yu)(yu)預(yu)防腐敗體系等都具有積(ji)極促(cu)進(jin)意義。
三、切實(shi)抓好職代會建(jian)設,推動中央企業深(shen)化改革(ge)、科學發展
當前(qian),中央企業面(mian)(mian)(mian)(mian)臨全(quan)面(mian)(mian)(mian)(mian)深(shen)(shen)化改(gai)革(ge)的重要(yao)(yao)任務,改(gai)革(ge)涉及方方面(mian)(mian)(mian)(mian)面(mian)(mian)(mian)(mian),內(nei)容多、范圍(wei)廣、挑戰大,更加需要(yao)(yao)我們發揮職代(dai)會制度在深(shen)(shen)化改(gai)革(ge)、科學發展中的重要(yao)(yao)作用。
(一(yi))黨(dang)(dang)(dang)(dang)委(wei)(黨(dang)(dang)(dang)(dang)組)要進一(yi)步(bu)發(fa)揮(hui)領導作用(yong)。建立(li)和完善職(zhi)(zhi)(zhi)(zhi)(zhi)代(dai)(dai)會(hui)(hui)制度,是(shi)中央企業(ye)(ye)黨(dang)(dang)(dang)(dang)委(wei)(黨(dang)(dang)(dang)(dang)組)的(de)一(yi)項重要職(zhi)(zhi)(zhi)(zhi)(zhi)責。總的(de)目標:一(yi)是(shi)二(er)級、三(san)級公(gong)司職(zhi)(zhi)(zhi)(zhi)(zhi)代(dai)(dai)會(hui)(hui)全(quan)覆(fu)蓋;二(er)是(shi)條件(jian)成熟的(de)集(ji)(ji)團公(gong)司也應積極(ji)建立(li)職(zhi)(zhi)(zhi)(zhi)(zhi)代(dai)(dai)會(hui)(hui),已(yi)(yi)建立(li)集(ji)(ji)團工會(hui)(hui)的(de)企業(ye)(ye)實現職(zhi)(zhi)(zhi)(zhi)(zhi)代(dai)(dai)會(hui)(hui)全(quan)覆(fu)蓋;三(san)是(shi)已(yi)(yi)建職(zhi)(zhi)(zhi)(zhi)(zhi)代(dai)(dai)會(hui)(hui)的(de)企業(ye)(ye),進一(yi)步(bu)加強(qiang)規范化建設(she),不斷提升職(zhi)(zhi)(zhi)(zhi)(zhi)代(dai)(dai)會(hui)(hui)質量和水平(ping)。中央企業(ye)(ye)黨(dang)(dang)(dang)(dang)委(wei)(黨(dang)(dang)(dang)(dang)組)要切(qie)實把握職(zhi)(zhi)(zhi)(zhi)(zhi)代(dai)(dai)會(hui)(hui)的(de)正(zheng)確政治方向,積極(ji)支持職(zhi)(zhi)(zhi)(zhi)(zhi)代(dai)(dai)會(hui)(hui)發(fa)揮(hui)作用(yong),研(yan)究解決職(zhi)(zhi)(zhi)(zhi)(zhi)代(dai)(dai)會(hui)(hui)建設(she)中的(de)有關問題,使(shi)職(zhi)(zhi)(zhi)(zhi)(zhi)代(dai)(dai)會(hui)(hui)成為黨(dang)(dang)(dang)(dang)密切(qie)聯系群(qun)(qun)眾(zhong)、教(jiao)育引(yin)導群(qun)(qun)眾(zhong)、組織發(fa)動群(qun)(qun)眾(zhong)、傾聽群(qun)(qun)眾(zhong)呼聲、維護(hu)職(zhi)(zhi)(zhi)(zhi)(zhi)工權益的(de)有效渠(qu)道(dao)。
(二)董(dong)事會(hui)(hui)(hui)和(he)經理(li)層要(yao)大(da)(da)力支(zhi)持職(zhi)代(dai)(dai)會(hui)(hui)(hui)建設。積極促進(jin)企(qi)(qi)業(ye)民主管理(li)工(gong)(gong)(gong)作與(yu)現代(dai)(dai)企(qi)(qi)業(ye)制(zhi)度(du)的(de)(de)有機結合。一是(shi)(shi)要(yao)進(jin)一步理(li)順職(zhi)代(dai)(dai)會(hui)(hui)(hui)與(yu)企(qi)(qi)業(ye)法(fa)人治理(li)結構的(de)(de)關系。不斷完善各項(xiang)工(gong)(gong)(gong)作制(zhi)度(du),開(kai)展管理(li)創(chuang)新和(he)制(zhi)度(du)創(chuang)新,形成董(dong)事會(hui)(hui)(hui)、監事會(hui)(hui)(hui)、經理(li)層和(he)職(zhi)代(dai)(dai)會(hui)(hui)(hui)有效(xiao)銜接(jie)(jie)、協調運轉、相(xiang)互(hu)制(zhi)衡的(de)(de)格局。二是(shi)(shi)堅持“三重(zhong)(zhong)一大(da)(da)”決(jue)策事項(xiang)事先聽取工(gong)(gong)(gong)會(hui)(hui)(hui)和(he)廣大(da)(da)職(zhi)工(gong)(gong)(gong)群眾的(de)(de)意見(jian)建議,“三重(zhong)(zhong)一大(da)(da)”決(jue)策事項(xiang)的(de)(de)執行(xing)情(qing)況(kuang)向職(zhi)工(gong)(gong)(gong)公開(kai),提(ti)交(jiao)職(zhi)代(dai)(dai)會(hui)(hui)(hui)審議。在(zai)深(shen)化企(qi)(qi)業(ye)改革中,涉(she)及(ji)職(zhi)工(gong)(gong)(gong)切身利益的(de)(de)重(zhong)(zhong)大(da)(da)事項(xiang)提(ti)交(jiao)職(zhi)代(dai)(dai)會(hui)(hui)(hui)討論審議通過(guo),凡涉(she)及(ji)到職(zhi)工(gong)(gong)(gong)轉崗(gang)安置(zhi)等問題,職(zhi)工(gong)(gong)(gong)安置(zhi)方案須提(ti)交(jiao)職(zhi)代(dai)(dai)會(hui)(hui)(hui)審議通過(guo),這是(shi)(shi)落實職(zhi)代(dai)(dai)會(hui)(hui)(hui)職(zhi)權(quan)的(de)(de)基本要(yao)求(qiu),也(ye)是(shi)(shi)企(qi)(qi)業(ye)民主管理(li)的(de)(de)底線(xian)。三是(shi)(shi)自覺接(jie)(jie)受(shou)(shou)職(zhi)工(gong)(gong)(gong)群眾的(de)(de)監督(du)評議。企(qi)(qi)業(ye)領導班子(zi)和(he)領導人員要(yao)向職(zhi)工(gong)(gong)(gong)代(dai)(dai)表大(da)(da)會(hui)(hui)(hui)報告履行(xing)職(zhi)責和(he)廉(lian)潔(jie)自律(lv)的(de)(de)情(qing)況(kuang),接(jie)(jie)受(shou)(shou)職(zhi)工(gong)(gong)(gong)代(dai)(dai)表的(de)(de)民主評議,這既是(shi)(shi)中央的(de)(de)要(yao)求(qiu),也(ye)是(shi)(shi)加強企(qi)(qi)業(ye)反腐(fu)倡廉(lian)建設的(de)(de)要(yao)求(qiu),也(ye)是(shi)(shi)凝聚人心的(de)(de)要(yao)求(qiu)。
(三)工(gong)(gong)(gong)會(hui)(hui)要在職(zhi)(zhi)(zhi)代(dai)會(hui)(hui)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)中發(fa)揮應有(you)作(zuo)(zuo)(zuo)用。工(gong)(gong)(gong)會(hui)(hui)作(zuo)(zuo)(zuo)為職(zhi)(zhi)(zhi)代(dai)會(hui)(hui)的(de)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)機構,要運用各種(zhong)形式向職(zhi)(zhi)(zhi)工(gong)(gong)(gong)群(qun)眾宣(xuan)傳(chuan)(chuan)民主管理的(de)有(you)關知(zhi)識,組織(zhi)傳(chuan)(chuan)達職(zhi)(zhi)(zhi)代(dai)會(hui)(hui)精神,宣(xuan)傳(chuan)(chuan)和(he)發(fa)動職(zhi)(zhi)(zhi)工(gong)(gong)(gong)落實職(zhi)(zhi)(zhi)代(dai)會(hui)(hui)決(jue)(jue)議;要抓好職(zhi)(zhi)(zhi)代(dai)會(hui)(hui)籌備和(he)組織(zhi)工(gong)(gong)(gong)作(zuo)(zuo)(zuo);要為職(zhi)(zhi)(zhi)工(gong)(gong)(gong)群(qun)眾反(fan)映意見、要求和(he)建議創造條件;要加強職(zhi)(zhi)(zhi)工(gong)(gong)(gong)代(dai)表培訓工(gong)(gong)(gong)作(zuo)(zuo)(zuo),開(kai)展(zhan)職(zhi)(zhi)(zhi)工(gong)(gong)(gong)代(dai)表巡視(shi)活動;深入(ru)開(kai)展(zhan)職(zhi)(zhi)(zhi)工(gong)(gong)(gong)提案工(gong)(gong)(gong)作(zuo)(zuo)(zuo),組織(zhi)職(zhi)(zhi)(zhi)工(gong)(gong)(gong)代(dai)表對職(zhi)(zhi)(zhi)代(dai)會(hui)(hui)決(jue)(jue)議和(he)提案落實情況進行(xing)檢查。工(gong)(gong)(gong)會(hui)(hui)要結合(he)企業實際(ji),創造性的(de)開(kai)展(zhan)工(gong)(gong)(gong)作(zuo)(zuo)(zuo),發(fa)揮工(gong)(gong)(gong)會(hui)(hui)到位、盡(jin)責的(de)作(zuo)(zuo)(zuo)用。
